Rules of Transaction

Please read these Rules carefully, and understand them before committing to any contractual agreements. Application of these Rules shall be subject to the relevant transaction setting in Comb2b.com ( named as Smart Transaction System / STS ). The services of STS are only provided to registered users who had duly agreed to all the transaction terms of Comb2b.com .

Article 1 Definition

1.Comb2b.com: the Website developed by Shenzhen Globex Technology Inc. which provides online transactions and digital supply chain services for buyers and suppliers.

2. Smart Transaction System ( STS ): the service system in Comb2b.com, which is used to manage and fulfill the trading process automatically in accordance with the agreement and contract between Buyer and Supplier

3.e-Contract: the Contract based on Purchase Order, which is confirmed by buyer and supplier on the Comb2b.com

4. On-line Transaction Service: the service dedicated to buyer and supplier to sign e-Contract on-line and implement their transaction via Smart Transaction System

5. eTradePay: the service system in Comb2b.com, which is used to provide various gateways for buyer to make their payment and manage its funds.

6. Deposit: the funds that is given by buyer as the first part of total payment

7. Balance: the funds that is given by buyer as the last part of total payment

8. Dropshipping Operation: one of supply chain management mode, where the buyer keeps the stocks at the warehouse nominated by Comb2b.com in China, and then the warehouse operator will ship the goods directly to the end customer by international Courier after e-fulfillment is done.

9.DDU Operation (B2B): one of supply chain management mode ( Inconterms of the Delivery Duty Unpaid ), where the buyer keeps the stocks at its destination local warehouse. Under this mode, Comb2b takes the responsibility to deliver the cargo in bulk from China to buyers local warehouse by sea-freight or air-freight or railway which is agreed by buyer in advance. Buyer takes responsibility to proceed the customs clearance and pays for the related Tax in destination country by its self or nominated customs Broker.

Chapter 2 e-Contract

2.1 e-Contract refers to the agreement negotiated between and reached by buyer and the Supplier. The detailed process is:

2.1.1 Buyers select products, negotiate the prices, and place initial purchase order on Comb2b.com

2.1.2 The Supplier notifies the buyer who will make confirmation online.

2.1.3 The Supplier notifies the buyer who will make confirmation online.

  The main terms of e-Contract should be inclusive of but not limited to product quantity and prices,Delivery Date, the amount of deposit and balance and payment time etc .

2.2 Please be noted that the confirmed e-Contract is deemed as basic formal evidence for the transaction ,and both buyer and supplier agree to:

2.2.1 Employ Smart Transaction System to fulfill their e-Contract;

2.2.2 Employ eTradePay.com as a gateway for payment and settlement.


2.2.3 Entrust Comb2b.com to collect the payments from buyer by its designated Bank-Trust-Account of Globex E-Services (HK) Limited and release funds after the whole trading process is duly fulfilled without failure.

2.2.4 Accept the logistics services arranged by Comb2b.com and confirm to pay for it.

Chapter 3 Operational Work Flow of Smart Transaction System for DDU Operation ( B2B )

3.1 Buyer is allowed to make payment in two steps by Deposit and Balance. The ratio and time of the two payments can be negotiated and confirmed by the Buyer and Supplier through e-Contract and set in Smart Transaction System .

3.1.1 Deposit: Once the Deposit is received by Comb2b.com in its Bank-Trust-Account, the Supplier should take the responsibility to prepare the cargo and deliver to the warehouse in China which is nominated by Comb2b.com.

3.1.2 Balance: Once the cargo arrives at warehouse destination country which is nominated by Comb2b.com, the Buyer should take the responsibility to pay the Balance.

Please notice that the cargo could not be picked up if Buyer fails to make full payment.

3.2 The warehouse operators nominated by Comb2b.com in China handle the cargo by below process

3.2.1 Scan and count when accepting cargo, undertake the inventory management,

3.2.2 Issue document of Cargo Receipt to supplier.

3.2.3 Proceed the Customs clearance by submitting the relevant documents such as Commercial Invoice, Packing List, Customs Clearance Sheet etc.

3.2.4 Consolidate the cargo into sea or air containers and effect the shipment.

3.3 Under the rules of on-Line Transaction service, Smart Transaction System cross-checks the data from the Packing List ( provided by the Supplier for Customs clearance ), the Cargo Receipt ( provided by the warehouse operators nominated by Comb2b.com ), and the e-Contract ( signed by buyer and supplier on Comb2b.com ) . When and only when all the data in Packing List and Cargo Receipt are consistent with that in the e-Contract, it is deemed that the suppliers has already duly fulfilled the order at original port without failure, and Comb2b.com directs the designated Bank to release the deposit to supplier in accordance with e-Contract.

3.4 Under the Rules of on-line Transaction service, the supplier could not get Deposit refund in the any of below event:

3.4.1 the Supplier has failed to deliver any products on or before the Delivery Date or did not deliver the products pursuant to e-Contract

3.4.2 the Supplier has failed to deliver products which are in compliance with the quantity of products in the e-Contract

3.4.3 the Supplier has failed to deliver products which are in compliance with the product description and specifications as set out in the e-Contract

3.5 In the case of any discrepancy among the data in Packing List, Cargo Receipt and that in the e-Contract, Smart Transaction System will alert both buyer and buyer the discrepancy accordingly. Supplier should consult with the Buyer to either modify e-Contract or make other arrangement. During this period, Comb2b.com should be in the position of holding the cargo on behalf of the Supplier and the funds on behalf of the buyer till both of them reach to new agreement.

3.6 Under the rules of on-Line Transaction service, Smart Transaction System monitors and manages the shipment when the cargo arrives at the port or warehouse in the destination. Buyer has to pay the balance and all surcharges incurred in the destination port or warehouse before picking up the shipment.

Chapter 4 Operational Work Flow of Smart Transaction System for Dropshipping Operation

4.1 Buyer needs to make payment in accordance with e-Contract. Once the payment is received by Comb2b.com in its Bank-Trust-Account, the Supplier should take the responsibility to prepare the cargo and deliver to the warehouse in China which is nominated by Comb2b.com.

4.2 The warehouse operators in China handle the cargo by below process

4.2.1 Scan and count when accepting cargo, undertake the inventory management

4.2.2 Issue document of Cargo Receipt to supplier.

4.2.3 Proceed the Customs clearance by submitting the relevant documents such as Commercial Invoice, Packing List, Customs Clearance Sheet etc.

4.2.4 do e-fulfillment by the shipping instruction from buyer and dispatch to the parcels to intl courriers doe last mile delivery.

4.3 Under the rules of on-Line Transaction service, Smart Transaction System cross-checks the data from the Packing List ( provided by the Supplier for Customs clearance ), the Cargo Receipt ( provided by the warehouse operators nominated by Comb2b.com ), and the e-Contract ( signed by buyer and supplier on Comb2b.com ) . When and only when all the data in Packing List and Cargo Receipt are consistent with that in the e-Contract, it is deemed that the suppliers has already duly fulfilled the order without failure, and Comb2b.com directs the designated Bank to release the payment in accordance with e-Contract.

4.4 Under the Rules of on-line Transaction service, the supplier could not get Deposit refund in the any of below event:

4.4.1 the Supplier has failed to deliver any products on or before the Delivery Date or did not deliver the products pursuant to e-Contract

4.4.2 the Supplier has failed to deliver products which are in compliance with the quantity of products in the e-Contract

4.4.3 the Supplier has failed to deliver products which are in compliance with the product description and specifications as set out in the e-Contract

4.5 In the case of any discrepancy among the data in Packing List, Cargo Receipt and that in the e-Contract, Smart Transaction System will alert both buyer and buyer the discrepancy accordingly. Supplier should consult with the Buyer to either modify e-Contract or make other arrangement. During this period, Comb2b.com should be in the position of holding the cargo on behalf of the Supplier and the funds on behalf of the buyer till both of them reach to agreement.

Chapter 5 Payment Process

The Buyer is required to make payment to a designated Bank-Trust-Account of Globex E-Services (HK) Limited with Ping An Bank. The detailed information of Bank Account will be given to Buyer when the e-Contract is confirmed.

Please notice:

5.1 The Buyer is allowed to make one payment which cover multiple e-Contracts with different suppliers.

5.2 The Buyer’s payment should be equivalent to the amount requested by eTradePay. Any over payment and underpayment will cause the transaction to fail and the total refund cost occurred thereby should be borne by the Buyer.

5.3 The Buyer can use the payment gateway provided by eTradePay to pay the funds to Comb2b’s Bank Account. All the surcharges occurred is under buyer’s account.

5.4 For DDU operation ( B2B ), logitics charges needed to be prepaid together with Deposit. In the case that the Buyer and Supplier agree on 0% Deposit (that is the Balance payment is the full payment), the Supplier should effect shipment no later than the agreed shipping date and bear the related risk.

5.5 For dropshipping operation, logistics surcharges ( inclusive of int courier freight ) needed to be prepaid.

Chapter 6 Settlement Process ( Release of Payment )

6.1 Release of Deposit : Comb2b.com direct the bank to release Deposit to Supplier if the cargo are accepted by the warehouse in China (which is nominated by Comb2b.com).

6.2 Release of Balance : Release of Balance : Comb2b.com directs the bank to release Balance to Supplier One Working Day after Buyer picks up their cargo in China or destination country.

6.3 Once Balance is released to Supplier, it is deemed that both parties have completed fulfillment of the transaction in line with e-Contract, which means Buyer agrees to give up the right for dispute, refund or charge-back.

Chapter 7 Transaction and Supply Chain Management Fee

Comb2b.com provides digital transaction service and supply chain management service for buyer and supplier and streamline the whole purchase process, and the below fee will be charged:

7.1 A transaction and supply chain management fee will be charged against buyers for each order pursuant to online transaction service of Comb2b.com. The rate is 2% of total transaction amount, except for certain scenarios where the rate will be otherwise stated by Comb2b.com.

7.2 Comb2b.com reserves the right to charge the Seller and/or the Buyer any additional fees in respect of transaction and supply chain management . Any such adjustment and/or decision of Comb2b.com will be published online and shall take effect on the designated date or, if there is no such designated date, 15 days after the adjusted fees are published on the Comb2b Platform.

7.3 Comb2b.com may from time to time adjust the relevant rules for Transaction Fee according to industry changes and operational demands, and determine the content and scope of such rules at its sole discretion. Any such adjustment and/or decision of Comb2b.com will be published online and shall take effect on the designated date or, if there is no such designated date, the date as published on the Comb2b Platform.

7.4 Comb2b.com will issue commercial invoice on behalf of supplier by adding on the mentioned transaction and supply chain management fee, and request buyer to make payment to its designated Bank-Trust-Account of Globex E-Services (HK) Limited. The transaction and supply chain management fee will be deducted by Comb2b.com after the purchase order is duly fulfilled.

7.5 Please notice that buyer needs to bear all the surcharge incurred when making payment to the bank account of designated by Comb2b.com.

Chapter 8 Logistics Surcharges

8.1 In addition to above mentioned transaction and supply chain management fee, buyer need to pay the logistics surcharges incurred in the delivery process of dropshipping operation or / and DDU operation (B2B).

8.2 The detailed Tariff of logistics surcharge will be found in Back-end platform of Comb2b.com.

8.3 Comb2b.com reserves the right to charge the Buyer any additional fees in respect of logistics charge. Any such adjustment and/or decision of Comb2b.com will be published online and shall take effect on the designated date or, if there is no such designated date, 15 days after the adjusted fees are published on the Comb2b Platform.

8.4 Comb2b.com may from time to time adjust the logistics Tariff according to industry changes and operational demands. Any such adjustment of Comb2b.com will be published online and shall take effect on the designated date.

8.5 For dropshipping operation, the buyer should charge a certain amount of funds to e-Wallet designated by Comb2b.com in advance. Comb2b.com will collect the logistics surcharge directly from e-wallet when actual operation is fulfilled. If the amount of the fund in the e-Wallet could not cover the actual logistics cost, the relevant operations will stop.

8.6 For DDU operation (B2B), the buyer should pay the whole logistics surcharge in advance. The amount of the logistics surcharge can be paid together with the Deposit ( which is agreed in e-Contract by buyer and supplier ) according to Commercial Invoice issued by Comb2b.com.

8.7 Please notice that buyer needs to bear all the surcharge incurred when making payment to the bank account or e-Wallet of designated by Comb2b.com.

Chapter 9 Complaints and Handling

9.1 Complaints

9.1.1 If a dispute arises after the e-Contract (as applicable) has taken effect, the Buyer may raise a complaint through the “orders” section in the Buyer Center (the “System”). The complaining Party is referred to as complainant and the other Party as respondent.

9.1.2 The complainant must fill in the reasons and grounds for raising the dispute and provides sufficient supporting documents within the time limit displayed on the System.

9.1.3 The complainant and the respondent should use their best endeavors to resolve the dispute amicably. After the complainant submits dispute complaint, the Parties have 3 days to negotiate without the involvement of Comb2b.com dispute customer service representative. If no agreement is reached by the Parties within the 3-day period, from the 4th day onwards, the Buyer may request Comb2b.com customer service representative to resolve the dispute, or may continue to negotiate with the Supplier.

9.1.4 If no agreement is reached by the Parties within 30 days from the date of the complaint, and the Buyer has not requested Comb2b.com customer service representative to resolve the dispute but has not withdrawn its complaint, on the 31th day from the date of complaint,

(a) the system will determine whether supporting evidence will be required to be provided by the Buyer and/or the Supplier; and (b) if Comb2b.com determines that supporting evidence is required from the Buyer and/or the Supplier, then the rules pursuant to supporting evidence as set out in Articles 14.6.2 and 14.6.3 shall apply.

9.1.5 During the 30-day negotiation period as stipulated in Section 9.1.4 above, if for any continuous 7-day period whereby (a) the Buyer has not responded to the Supplier at all, the system will close the complaint case; or (b) the Supplier has not responded to the Buyer at all, the system will escalate the complaint to a customer service representative of Comb2b.com automatically for Dispute Determination. For the avoidance of doubt, the negotiation period may be extended or shortened based on each complaint case as Comb2b.com sees fit.

9.1.6 Prior to the Comb2b.com customer service representative’s involvement, the Buyer and the Supplier shall be responsible for any risk and the outcome of their negotiation.

9.1.7 If during the course of Dispute Determination, the Parties reached a settlement, a written settlement agreement or other agreement in writing shall be provided to Comb2b.com which will then cease the Dispute Determination.

9.1.8 Notwithstanding the above, the results of implementation and enforcement of the settlement by the Parties are beyond the scope of STS, if either Party is not satisfied with such settlement or enforcement results, the Parties shall resolve the matter on their own through consultation.

9.2 Complaint Withdrawal

9.2.1 The complainant may withdraw the complaint at any time before Comb2b.com makes any determination on the complaint.

9.2.2 The respondent shall not lure, engage in any fraudulent act to make, or coerce the complainant to withdraw the complaint.

9.3 Claim Period

The Buyer can only raise a complaint for Dispute Determination during the applicable Claim Period in order to activate the Dispute Determination process, failing which, Comb2b.com shall have no obligation to accept the complaint.

9.4 Notice

After Comb2b.com receives the request for Dispute Determination, Comb2b.com will notify the respondent about the complaint by mail, telephone, or any other methods as it deems appropriate.

9.5 Counter-notice

9.5.1 After being notified by Comb2b.com, the respondent should submit a counter-notice for the complaint within 3 Working Days from the date of notification and provide sufficient supporting evidence.

9.5.2 If the respondent fails to submit a counter-notice in time or fails to provide sufficient evidence to support its counter-notice, Comb2b.com will determine the dispute based on the existing supporting evidence available.

Chapter 10 - Miscellaneous

10.1 Comb2b.com shall have the right to amend, revise and publish on the Comb2b.com International Platform these Rules from time to time based on the actual performance of the STS and the amended and revised Rules will take effect on the designated date or, if there is no such designated date, the date it is published on the Comb2b.com.

10.2 Comb2b.com and/or its affiliates may improve or upgrade its functions and services from time to time, but Comb2b.com and/or its affiliates makes no guarantee or undertaking of any commercial or sales effect of such improvement or upgrade under any circumstances, including but not limited to unique visitor rate, sales performance of products, operational performance or investment gains.

10.3 The functions of app or mobile optimized website of the Comb2b.com may be different from accessing from normal world wide web on computer, Comb2b.com and/or its affiliates may improve or upgrade the functions and services of its app or mobile optimized website from time to time and may improve, adjust, suspend or cancel any or all of the functions thereof.

10.4 Comb2b.com shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the services or systems due to the following reasons: (i) system shut-down for maintenance; (ii) inability to transmit data due to failures in communications terminals or telecommunications equipment; (iii) systems failure and inability to perform its functions) due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties; or (iv) suspension or delay of services or systems failure due to reasons beyond the reasonable control of Comb2b.com such as hacker or cyber attacks, technical adjustments or failure of the telecommunications department, website upgrades, third party problems or any suspension or disruption of transportation or business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic.

10.5 If any Party has any disagreement to these Rules, such Party should stop using the Trade Assurance Services and immediately notify the other Party, Comb2b.com, and Comb2b.com. By executing and performing e-Contract and/or using any STS (as applicable), such Party will be deemed to have accepted and agreed to be bound by these Rules.

10.6 If for any reason a court of competent jurisdiction finds any provision of these Rules to be unenforceable, that provision of these Rules will be enforced to the maximum extent permissible, and the remainder of these Rules will continue in full force and effect.

10.7 These Rules are governed and construed in accordance with the laws of Hong Kong. Any dispute, controversy or claim arising out of or in connection with these Rules, including any question regarding its existence, validity or termination, shall be first settled through friendly consultations. In the event that no settlement is reached within thirty (30) days from the date of notification by either party to the other that it intends to submit a dispute, controversy or claim to arbitration, then such dispute, controversy or claim shall be settled by arbitration in accordance with the HKIAC Administered Arbitration Rules in effect at the time of applying for arbitration and as may be amended by the rest of this Article. The arbitration institute shall be the Hong Kong International Arbitration Centre (“HKIAC”) and the place of arbitration shall be in Hong Kong at HKIAC. The language of the arbitration shall be English. The tribunal shall consist of three arbitrators. Each of the Parties shall select an arbitrator. The third and presiding arbitrator shall be selected by HKIAC. The arbitral award shall be final and binding upon the Parties.

10.8 In the event of any discrepancy of these Rules between its English version and versions of any other language(s), the English version shall prevail.
